Terms & Conditions

 

All work carried out by The Sinclair Consultancy on behalf of the Client shall be treated as “commercial in confidence”. All materials produced as a result of the project shall be the property of the Client. Copyright of all documentation shall be retained by the Client. All materials forwarded by the Client for information purposes shall be returned by The Sinclair Consultancy LTD on completion of the assignment.

If the Client shall fail to make any payment provided by this Proposal when the same shall be due, The Sinclair Consultancy LTD shall, without prejudice to any other rights that it may have, be thereupon entitled to cancel the contract by notice, in writing, to the Client.

In the event of the Client merging with, or being taken over by, another person, firm or company, The Sinclair Consultancy LTD reserves the right to terminate the contract by notice in writing to the Client without liability. This contract may also be terminated in writing by either The Sinclair Consultancy LTD or the Client subject to a two month notice period, in accordance with any express provisions agreed in the documents forming this Proposal or by mutual consent.

Neither The Sinclair Consultancy, nor any of their servants or agents, shall be liable for damages or loss of whatever nature, arising from the work done by them, whether due to negligence or any other cause whatsoever.

The Sinclair Consultancy LTD will ensure that the contracted services are undertaken by appropriately qualified and competent personnel and the client will review activities and advice of The Sinclair Consultancy prior to taking (or not taking) any actions related to the areas of the contracted service. PPC will make all reasonable efforts to ensure that the services delivered and advice given under this contract will be correct. The Sinclair Consultancy will accept liability for direct additional costs incurred by the client which arise as a result of advice given to the client by The Sinclair Consultancy, in writing, which is inaccurate or erroneous. The Sinclair Consultancy shall not be liable for any cost or loss incurred or suffered by the client arising from the client’s failure to act, act timeously or act fully to advice given to the client in writing by The Sinclair Consultancy.

The terms of this Proposal may be extended for a maximum of three months by mutual agreement.

This agreement shall be governed by and in all respects construed in accordance with the laws of Scotland.
